We set up your Pty Ltd company (a private company) with ASIC, start to finish. ASIC is the government body that registers companies. We check the name and get the company number, then set up the rule book, directors and shares, with the tax registrations to match. You agree one fixed scope with us before we lodge anything.

What's included

Everything ASIC needs, in the right order.

A company set up right the first time costs less than one fixed later. We prepare the documents and lodge them with ASIC. Then we stay on as your registered agent (the firm ASIC contacts about the company).

  • We check that your company name is free on the ASIC register. We can reserve a name if you want to hold it while you decide.
  • An ACN (the company's nine-digit number from ASIC). ASIC issues it when the company is registered. We send you the certificate of registration as soon as ASIC releases it.
  • A company constitution (the rule book for how the company is run). Or the standard rules set out in the law, if they suit you.
  • We record the officeholders (the directors and secretary) and the shareholders (the people who own the shares). We collect their signed consents.
  • Shares set up as agreed. That covers which types of shares, how many are issued and who holds them.
  • The registered office (the address ASIC sends notices to) and the main place of business, both recorded. If the office belongs to someone else, we get their written consent.
  • We stay on as your ASIC registered agent. We handle the annual review (the yearly point where the company confirms its details on the ASIC register are current). We also lodge the solvency resolution (a yearly statement that the company can pay its debts). Any change to directors, shares or addresses goes through us.

Tax registrations

ABN, TFN, GST and PAYG, in one go.

A new company needs its own tax registrations before it sends an invoice or pays anyone. We apply for them as part of the setup. Sole traders (people who trade under their own name) do not need a company. We can apply for the registrations on their own.

  • An ABN (Australian Business Number). The company puts it on invoices and uses it with the ATO (the tax office).
  • A TFN (tax file number) for the company itself. It is separate from each director's own TFN.
  • GST (goods and services tax, the tax added to most sales) registration when turnover (your total sales) requires it, or earlier if it suits the business. At the same time we set the BAS cycle. BAS is the form you send the ATO for GST. The cycle is how often you send it.
  • PAYG withholding registration before you pay the first employee or director. PAYG withholding is when the company takes tax out of wages for the ATO. The company can do this from day one.

For new companies

We lodge the registrations once ASIC issues the ACN. From the start, the company can send invoices, pay wages and lodge its first BAS. Our Tax & Compliance service handles the lodgements after that.

For sole traders

You do not need a company. If you trade under your own name, you may only need an ABN, GST or PAYG withholding registration. Ask for the registrations on their own and we set them up.

Who it's for

Owners who want the setup done once.

It might be your first company or the fourth in a group. Either way, the paperwork has to be right for the structure (the legal setup of your business) to work.

First-time company owners

You are moving from sole trader to Pty Ltd, or starting fresh. You want the constitution, shares and registrations done properly. A cheap online form often needs fixing later.

Groups adding an entity

You need one more entity (a company or trust) in your group. That could be a new trading company or a holding company, which owns other companies or assets. It could also be a corporate trustee, a company that runs a trust. It sits inside a structure we have planned with you under Business Structuring.

Sole traders who only need registrations

You want an ABN, GST or PAYG withholding registration on its own, with no company. We set it up and link it to your ATO account.

How it works

  1. A conversation

    We talk for thirty minutes about what the company will do and who is involved. We also check whether a company is the right structure at all. If a trust or another structure fits better, we say so before you pay for anything.

  2. A fixed scope in writing

    Before we lodge with ASIC, we put the scope (what the job covers) in writing. It lists what we register, the documents you get, the tax registrations included and the cost. We do not add anything on later.

  3. The same team, all year

    The person who registered the company stays on your file as your ASIC registered agent. They handle the annual review and any changes to directors or shares. If you want us to keep going, the same team does the lodgements that follow. You can reach them by phone, text or WhatsApp.

What you get

Every document the company needs, from day one.

A bank, a lawyer or the ATO will ask for these later. You have them in one place from the start.

  • The certificate of registration from ASIC. It shows the ACN and the date the company was registered.
  • The company constitution. The shareholders sign it and adopt it as the company's rules.
  • Share certificates for each shareholder, plus the register of members (the company's list of who holds shares).
  • Minutes and consents. That means the written record of the first directors' decisions. It also covers each officeholder's signed consent to act and the consent for the registered office address.
  • ABN, TFN, GST and PAYG withholding confirmations from the ATO, as each one is issued.
  • Our appointment as your ASIC registered agent. Annual statements and reminders come to us. We explain them to you in plain words.

What we need from you

Seven things, and we can lodge.

Send these by email or WhatsApp. We prepare the documents for you to sign.

  • Two or three company names you would like, with your favourite first.
  • Each director's full name, date and place of birth, home address and director ID. A director ID is a number every director must get from the ATO before they are appointed. If you do not have one, we point you to where to apply.
  • The secretary's details, if you are appointing one.
  • The share structure: who holds shares, how many, what type and what they paid for them.
  • A registered office address in Australia. If the address belongs to someone else, we need their written consent to use it.
  • The main place of business, if it is different from the registered office.
  • Photo ID for each officeholder and shareholder. We check identity before we lodge.
